These Terms of Service (this “Agreement”) are a binding contract between you (“Customer,” “you,” or “your”) and Raudel Solis Saenz, an individual doing business as YourProWeb (“HFHSE,” “we,” “us,” or “our”). This Agreement governs your access to and use of the HFHSE application, website, and related services (collectively, the “Services”).
If you are accepting this Agreement on behalf of a company or other organization, you represent and warrant you have authority to bind that organization, and “Customer” includes that organization.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
1. Definitions
- “Authorized Users” means Customer’s employees, contractors, agents, and other individuals invited or provisioned by Customer to access the Services.
- “Company Workspace” means a Customer’s tenant/workspace within HFHSE (including projects, users, roles, and records).
- “Company Data” means all information and content submitted, uploaded, or generated within a Company Workspace, including forms, observations, sign-offs, photos, attachments, and metadata (including GPS coordinates when enabled).
- “Documentation” means any end-user documentation or help content we make available for the Services.
- “Fees” means subscription fees and other charges for paid plans.
- “Order” means the plan selection, purchase flow, or order confirmation (including in-app purchase) that sets pricing and subscription term.
- “Subscription Period” means the term of a paid plan (monthly/annual) and any applicable trial period.
- “Trial” means the limited evaluation period offered before a subscription is purchased.
2. Access and Use
a) Provision of Access
Subject to this Agreement and the applicable plan limits, we grant Customer a non-exclusive, non-transferable, non-sublicensable right for Authorized Users to access and use the Services for Customer’s internal business purposes.
b) Customer Responsibilities
Customer is responsible for:
- all Authorized Users’ activity in the Company Workspace,
- maintaining accurate workspace and account information,
- complying with all applicable laws and workplace policies,
- configuring role permissions appropriately, and
- maintaining appropriate backups/export practices as needed.
c) Use Restrictions
Customer will not (and will not permit others to):
- reverse engineer, decompile, or attempt to derive source code from the Services,
- bypass security or access controls,
- use the Services to store or transmit unlawful content,
- upload malware or harmful code,
- infringe or violate others’ rights,
- use the Services for competitive analysis or to build a competing product,
- resell, rent, lease, or provide the Services to third parties as a service bureau without our written permission.
3. Company Admin Controls
Company administrators control Company Workspace access, including inviting/removing users, assigning roles, enabling/disabling accounts, and managing records and exports.
Customer acknowledges that:
- Company admins may view and manage Company Data as permitted by workspace roles,
- Company admins may delete Company Data (which may be permanent and impact audit trails),
- Authorized Users’ access and retention may be controlled by the employer/company.
4. Data Ownership and Roles
a) Company Data Ownership
As between HFHSE and Customer, Customer owns Company Data.
b) Our Role as Service Provider/Processor
HFHSE processes Company Data only to provide, secure, maintain, and support the Services, including storage, retrieval, authentication, access control, and audit logging.
c) License to Operate the Service
Customer grants HFHSE a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Company Data solely as needed to provide and improve the Services, provide support, prevent fraud/abuse, and comply with law.
5. Trial, Subscription, and Payments
a) Trial
If a Trial is offered, access may be limited by time and features. HFHSE is free to download, but may require a paid subscription for ongoing functionality.
b) Trial Data Deletion (No Purchase)
If a subscription is not purchased:
- Trial access ends after 7 days, and
- we delete the trial Company Workspace data (including forms, sign-offs, observations, and uploaded photos/attachments) within 7 days after the trial ends, unless retention is required for security, fraud prevention, dispute resolution, or legal compliance.
c) Subscription Purchases
Subscriptions may be purchased through Apple in-app purchases and/or other supported methods. Plan details (including seat limits and billing cadence) are shown at purchase.
d) Fees and Taxes
Fees are charged as displayed at checkout and are generally non-refundable except where required by law or platform policy. Taxes may apply depending on jurisdiction and platform rules.
e) Seat Limits
Paid plans may include seat limits (e.g., Field User seats and Craft Employee seats). Customer is responsible for staying within plan limits. We may block new user provisioning when limits are exceeded.
6. Third-Party Services
The Services rely on third-party providers (for example, infrastructure, authentication, storage, and subscription management). Use of third-party services may be subject to those providers’ terms.
Customer acknowledges that:
- payment processing and subscription management may be handled by Apple and/or a subscription platform provider,
- HFHSE does not receive full payment card details for Apple IAP transactions.
7. Security, Logs, and Retention
We use reasonable safeguards to protect the Services. No method of transmission or storage is 100% secure.
We retain security logs (including IP-related security logs) for 30 days and then delete or de-identify them unless needed for security investigations or legal compliance.
Company Data is retained until deleted by Customer’s company admin or until workspace closure/deletion is requested, subject to legitimate business/compliance needs and legal requirements.
8. Suspension and Termination
a) Suspension
We may suspend access to the Services (in whole or in part) if we reasonably determine:
- there is a security threat to the Services,
- Customer’s use poses risk to the platform or others,
- Customer violates this Agreement,
- we are required to do so by law,
- nonpayment occurs (where applicable),
- or a third-party provider we rely on is disrupted.
b) Termination by Customer
Customer may stop using the Services at any time. Paid subscriptions are managed per the platform’s cancellation process and policies.
c) Termination by HFHSE
We may terminate or suspend Customer’s access for material breach, repeated violations, or illegal use.
9. Intellectual Property
HFHSE retains all rights, title, and interest in the Services, including software, designs, trademarks, and Documentation, excluding Company Data.
Customer may not use HFHSE trademarks without permission.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFHSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HFHSE DOES NOT WARRANT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- HFHSE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA.
- HFHSE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO HFHSE FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF NONE, $100).
12. Indemnification
Customer will indemnify and hold HFHSE harmless from claims arising out of:
- Customer’s or Authorized Users’ use of the Services in violation of this Agreement,
- Company Data content or its submission/collection/use by Customer,
- or Customer’s violation of laws or third-party rights.
13. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law rules. Venue for disputes (unless otherwise required by law) will be in Tarrant County, Texas.
14. Changes to This Agreement
We may update these Terms from time to time. We will revise the “Last Modified” date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
